She has been involved in the negotiation of contracts for the purchase and sale of shares, quotas and assets, shareholders’ agreements, confidentiality agreements, memoranda of understanding, partnership agreements and other related and ancillary contracts, as well as in the coordination of legal due diligence, participating in M&A processes from start to finish, including in subsequent discussions related to indemnification, guarantees and other contractual aspects.
In addition, Cristina has extensive experience in preparing and reviewing various corporate documents, working on complex corporate reorganizations, including issuing legal opinions on various corporate aspects. In addition to preparing, reviewing, and negotiating typical M&A contracts, Cristina also has experience with other types of contracts, such as service, supply, trademark, escrow, and financial agreements, among others.
Cristina has actively participated in projects involving public offerings (including investments by private equity funds in the context of initial public offerings) and debt offerings, as well as advising publicly traded companies on their regulatory obligations before the Brazilian Securities and Exchange Commission (CVM).
She also worked at Davis Polk & Wardwell, in New York, in the Capital Markets area, in particular on capital markets transactions involving Brazilian companies.
